1. This is an action brought in this District under applicable Pennsylvania law arising out of Defendants’ violations of Plaintiff Sara Eden’s rights as a founder of Orennia who was denied written and oral promises of rightfully earned compensation for services she performed before Orennia’s first fundraising event. Ms. Eden provided incredible value to Defendants under the promise that she, as one of Orennia’s co-founders, would be an executive, partner, and equity recipient in the venture. After benefiting from Ms. Eden’s work performed under her belief that this promise would be fulfilled, Defendant Papau ousted Ms. Eden on the eve of Orennia’s first round of funding under the guise of a soured professional working relationship. Based on this unlawful conduct, Ms. Eden asserts claims for breach of contract, quantum meruit, and unjust enrichment against Defendants.
2. Sara Eden is an adult resident of Nelson County, Virginia. At all times pertinent to the allegations contained in this Complaint, Ms. Eden was a resident of Pennsylvania, with an address at .
3. Defendant Orennia, Inc. is, on information and belief, a privately held corporation authorized to transact business in Canada. Orennia maintains its principal office at 215 2 Street SW, Suite 2600 , Calgary, Alberta, T2P 1M4, Canada.
4. Defendant Orennia US LLC is, on information and belief, a Delaware limited liability company which acts as the United States-based subsidiary of Orennia. Orennia US LLC maintains its principal office at 1940 Fountain View Drive, Suite # 3266 , Houston, TX .
5. Defendant Brook Papau is, on information and belief, a resident of Calgary, Province of Alberta, Canada. Defendant Papau is the Chief Executive Officer (“CEO”) of Orennia and, at all times pertinent to this Complaint, was acting in his capacity as the CEO of Orennia and its subsidiaries.
6. This Court has subject matter jurisdiction pursuant to 28 USC § 1332 because there is complete diversity between the Parties and the amount in controversy, exclusive of interests and costs, exceeds $75,000.00.
7. This Court has in personam jurisdiction over Defendants due to Pennsylvania’s long-arm jurisdiction under Pa.C.S. § 5322 (a)(1), (3), and (4).
8. Venue is proper in this Court under 28 U.S.C. § 1391 (b)(2) and/or (3) because Ms. Eden, the Plaintiff, was a resident of this District at the time of the acts giving rise to her claim.
9. Paragraphs 1-8 of this Complaint are re-alleged and incorporated herein by reference.
10. Ms. Eden is a Graduate of the University of Virginia McIntire School of Commerce. Ms. Eden is a businesswoman passionate about renewable energy and resources. At all times pertinent to the allegations in this Complaint, Ms. Eden was a resident of Pennsylvania and lived in Philadelphia.
11. From May 2016 to August of 2020 , Ms. Eden was employed at RS Energy Group/Enverus (“Enverus”), an energy software company. Here, she met Defendant Papau, who also worked for Enverus.
12. In the summer of 2020 , Ms. Eden and Defendant Papau discussed leaving Enverus to start their own renewable energy company. Ms. Eden identified the opportunity and demand within the renewable energy space for an analytics platform that offers comprehensive energy transition analytics to capital allocators, improving efficient capital allocation in that market.
