Complaint

SOURCE (“Defendant”), is a California corporation with its principal place of business in the State of Colorado located at W. Chatfield Ave, Suite 108, Littleton, Colorado .

3. Subject matter jurisdiction exists in this Court under 28 U.S.C. § 1332 (a), because this is a civil action, there is complete diversity of citizenship between Plaintiff and Defendant, and the amount in controversy exceeds $75,000.00, exclusive of interest, fees, and costs.

4. Venue is proper in this Court pursuant to 28 U.S.C. § 1391 , because a substantial part of the events or omissions giving rise to the claims occurred in the Middle District of Florida. Additionally, venue is proper in this Court pursuant to Section 22 of the Reseller Agreement, Section 15 of the Forbearance Agreement, and Section 21 of the Amended Reseller Agreement (each of which as defined below), which designate the state or federal court sitting in Orange County, Florida, as the exclusive venue for any action brought under said Agreements.

5. Plaintiff has retained the undersigned law firm of Zimmerman, Kiser & Sutcliffe, P.A. to represent it in this action and owes said law firm reasonable attorneys’ fees for their services provided.

6. All conditions precedent to the filing of this action have been waived, occurred, or satisfied.

GENERAL ALLEGATIONS

The Initial Reseller Agreement

7. On or about September 11, 2020 , Plaintiff and Defendant entered into a Software as a Services Reseller Agreement (the “Reseller Agreement”), a true and correct copy of which is attached hereto as Exhibit “A” and incorporated herein.1

8. As set forth in the Reseller Agreement, Plaintiff agreed to provide services to Defendant in the form of access to and the ability to resell Plaintiff’s employee benefits software and platform in exchange for payment by Defendant.

9. The Reseller Agreement contained an initial three-year term beginning September 11, 2020 and concluding September 10, 2023 .

10. Subsequent to the execution of the Reseller Agreement, Plaintiff provided access to and the ability to resell Plaintiff’s employee benefits software and platform as required by the terms of the Reseller Agreement. Plaintiff then issued invoices to Defendant for the services provided pursuant to the Reseller Agreement.

11. The Reseller Agreement required Defendant to pay Plaintiff the monthly minimum payments identified on Schedule A to the Reseller Agreement titled “Service Fees.”
