2. Defendant Bruce Chris Cope is an adult resident citizen of Harrison County, Mississippi. For purposes of this Court’s analysis of diversity in this matter and to satisfy the requirements in 28 U.S.C. § 1332 , Defendant is a citizen of Mississippi.
3. Defendant “Cope Investments LLC” is an Alabama limited liability company with its principal place of business located in Mobile, Alabama. For purposes of this Court’s analysis of diversity in this matter and to satisfy the requirements in 28 U.S.C. § 1332 , Defendant is a citizen of each state in which one or more of its members is a citizen. Upon information and belief, Defendant Cope is the sole member of the CI. Because Cope is a citizen of Mississippi, CI is also a citizen of Mississippi.
4. Defendant Power SRC, LLC is a Mississippi limited liability company with its principal place of business located at . For purposes of this Court’s analysis of diversity in this matter and to satisfy the requirements of 28 U.S.C. § 1332 , Power SRC is a citizen of each state in which one or more of its members is a citizen. Upon information and belief, Defendant Cope is the sole member of the Power SRC. Because Cope is a citizen of Mississippi, Power SRC is also a citizen of Mississippi.
5. This Court has jurisdiction over this action pursuant to 28 U.S.C. § 1332 because the amount in controversy exceeds the sum or value of $75,000.00, exclusive of interest and costs, and is between citizens of different states.
6. Venue is proper in this Court pursuant to 28 U.S.C. § 1391 because the events giving rise to the causes of action occurred in Mobile County, Alabama, and the Defendants are subject to personal jurisdiction in this district.
1. On December 10, 2024 , Cope, as Member of CI entered that certain Business Loan Agreement (the “CI Loan Agreement”) by and between CI, as Borrower, and Origin, as Lender, in the principal amount of $10,000,000 bearing Loan No. - (the “CI Loan”). A true and correct copy of the CI Loan Agreement is attached hereto as Exhibit A.
2. On December 10, 2024 , Cope, as Member of CI executed that certain Commercial Line of Credit Agreement and Note (the “CI Note”) in favor of Origin in the principal amount of Ten Million Dollars and Zero Cents ($10,000,000.00), bearing Loan No. - , with said Note maturing on demand and no later than December 10, 2027 . A true and correct copy of the CI Note is attached hereto as Exhibit B.
